Terms of Use

PLEASE READ SECTION 20 CAREFULLY. It requires most disputes to be resolved by individual binding arbitration and waives your right to a jury trial and to participate in a class action. You may opt out of arbitration within 30 days of first accepting these Terms, as described in Section 20.7.

1. Agreement to These Terms

These Terms of Use (“Terms”) are a binding agreement between you and MCK Agency LLC, a Colorado limited liability company doing business as Upsocial Agency (“Upsocial,” “we,” “us,” or “our”), governing access to and use of the Upsocial App, upsocialapp.com, and related services (together, the “Service”).

By creating an account, clicking to accept, or using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.

If you accept these Terms on behalf of a company or other organization, you represent that you have authority to bind it, and “you” means that organization.

2. Eligibility

The Service is a business tool. You must be at least 18 years old and capable of forming a binding contract. The Service is offered only to businesses and organizations in the United States and Canada, and only for business purposes. It is not intended for personal, family, or household use, and it is not available to consumers in that sense.

You may not use the Service if you are barred from doing so under the laws of the United States or any other applicable jurisdiction, including sanctions and export control laws.

3. Definitions

  • Customer means the business or organization that subscribes to the Service and holds the account.
  • Authorized User means an individual invited by the Customer to use the Service under the Customer’s account.
  • Client means a third-party business whose social media accounts the Customer manages through the Service.
  • Connected Account means a social media account authorized for access through the Service.
  • Customer Content means anything uploaded to or created in the Service by the Customer or its Authorized Users, including captions, images, video, notes, and approvals.
  • Platform means a third-party social media service the Service integrates with, including Meta (Facebook, Instagram), LinkedIn, TikTok, YouTube, and X.

4. What the Service Does

The Upsocial App is a social media management platform. Depending on your plan, it lets you plan and organize content on a calendar and board, draft and store captions and media, route content through internal and client approval, connect social media accounts, schedule and publish content to those accounts, review incoming comments and messages, manage influencer and contributor workflows, assign tasks, and view performance reporting.

We may add, change, or remove features. If we discontinue a material feature of a paid plan, we will give you at least 30 days’ notice and, if you cancel because of it, refund the unused prepaid portion of your subscription for that period.

We are a tool, not the publisher. You decide what is published, when, and to which accounts. You are responsible for the content you publish and for complying with each Platform’s rules.

5. Accounts, Workspaces, and Team Access

  • You must provide accurate, current, and complete registration information and keep it updated.
  • You are responsible for the confidentiality of your credentials and for all activity under your account, including activity by your Authorized Users.
  • The Customer controls its workspace: who is invited, what role and permissions each person has, and what each person can see or do. The Customer is responsible for removing access promptly when a person no longer needs it.
  • The Customer is responsible for the acts and omissions of its Authorized Users as if they were its own.
  • Notify us immediately at app@upsocial-agency.com if you suspect unauthorized access. We are not liable for losses arising from unauthorized use of your account before you notify us.
  • We may enforce reasonable usage limits by plan, including seats, workspaces, connected accounts, scheduled posts, storage, and API calls. Sustained use materially beyond your plan’s limits may require an upgrade.

6. Managing Accounts on Behalf of Clients

If you use the Service to manage a Client’s social media accounts, the following apply and are material to this agreement.

  • You warrant that you have authority. You represent and warrant that you have obtained all necessary rights, permissions, and authorizations from each Client to connect their accounts, access their data, publish on their behalf, and share their data with us and our subprocessors for these purposes.
  • You are responsible to your Clients. You are responsible for your agreements with your Clients, for any privacy notices or consents they must give, and for handling requests from individuals about data in your workspace.
  • Roles. For Customer Content and data from Connected Accounts, we act as a service provider acting on your instructions. You are the controlling party. A Data Processing Addendum is available at app@upsocial-agency.com and, once executed, is incorporated into these Terms.
  • On termination of a Client relationship. You are responsible for disconnecting that Client’s accounts and removing their users from your workspace. We are not responsible for content published to a Client account through your workspace after your relationship with that Client ends.
  • You indemnify us for claims by a Client arising from your use of the Service in connection with their accounts, as set out in Section 19.

7. Connecting Social Media Platforms

  • Connecting an account requires you to sign in at the Platform and approve permissions. We access only what those permissions allow, as described in our Privacy Policy.
  • You remain bound by each Platform’s own terms, developer policies, community standards, and advertising rules. Where those conflict with what the Service lets you do, the Platform’s rules govern your activity on that Platform.
  • You may disconnect an account and revoke our access at any time, from the Service or from the Platform.
  • Platforms change and break. APIs change, rate limits apply, permissions get revoked, and Platforms suspend or remove access without notice. A scheduled post may fail, publish late, or publish with altered formatting for reasons outside our control. We do not guarantee that any integration will remain available, and we are not liable for a Platform’s acts, outages, policy changes, or removal of your content or accounts. You are responsible for verifying that scheduled content published as intended.
  • YouTube. The Service uses YouTube API Services. By connecting a YouTube channel to the Service or using the Service with YouTube, you agree to be bound by the YouTube Terms of Service at https://www.youtube.com/t/terms. How we handle YouTube data is described in our Privacy Policy, and Google’s handling of your information is described in the Google Privacy Policy at http://www.google.com/policies/privacy.
  • TikTok. When you publish content to TikTok through the Service, you also agree to TikTok’s Terms of Service and, where they apply to your post, TikTok’s Music Usage Confirmation and Branded Content Policy.
  • No affiliation. Upsocial is not affiliated with, endorsed by, sponsored by, or officially connected to Meta Platforms, Inc., LinkedIn Corporation, TikTok, Google LLC, YouTube, or X Corp. Facebook, Instagram, Threads, LinkedIn, TikTok, YouTube, and X are trademarks of their respective owners.

8. Subscriptions, Fees, and Billing

8.1 Plans and Fees

Paid plans are billed on a monthly or annual subscription basis at the prices shown at the time of purchase. Fees are stated and payable in United States dollars unless we specify otherwise. By subscribing you authorize us and our payment processor to charge your payment method for all applicable fees and taxes.

8.2 Automatic Renewal

Your subscription renews automatically. A monthly plan renews every month and an annual plan renews every twelve months, each on the anniversary of your start date, at the then-current price for your plan, charged to your payment method on file, until you cancel. Annual plans are paid in advance for the full term.

We will send a renewal reminder to your billing email before each annual renewal, and before any monthly renewal where the law requires it. We will give at least 30 days’ notice before any price increase takes effect at renewal, and you may cancel before then to avoid it.

8.3 Cancellation

You may cancel at any time, from Settings, Billing in the Service, or by emailing app@upsocial-agency.com. Cancellation is effective at the end of the current paid term. You keep access to paid features until the end of that term, and you will not be charged again after that.

8.4 Refunds

All fees are non-refundable. We do not provide refunds or credits for partial periods, unused time, downgrades, or periods in which you did not use the Service, except where required by law or where these Terms expressly say otherwise (see Sections 4 and 15). Canceling stops future charges; it does not refund charges already made.

8.5 Free Trials

We may offer a free trial. If we do, the length and conditions will be stated at sign-up. A trial may require a valid payment method. Unless you cancel before the trial ends, the trial converts automatically into a paid subscription at the plan price then in effect, and your payment method will be charged. We will tell you the trial end date at sign-up and remind you before the trial converts. One trial per Customer. We may modify or withdraw trial offers at any time.

8.6 Failed Payments and Taxes

  • If a payment fails, we may retry it. If it remains unpaid, we may suspend access to paid features after notice to your billing email, and may terminate the account if it remains unpaid for 30 days. Suspension does not relieve you of accrued fees.
  • Fees are exclusive of taxes. You are responsible for all sales, use, VAT, GST, HST, and similar taxes, excluding taxes on our income.
  • Payments are processed by Stripe, Inc. and are subject to Stripe’s terms. We do not store full payment card numbers.

8.7 Changes to Plans

Upgrades take effect immediately and are charged on a prorated basis for the remainder of the current term. Downgrades take effect at the start of the next term, with no refund or credit for the difference in the current term. We may change our prices and plan structures on at least 30 days’ notice, effective at your next renewal.

8.8 Usage Limits and Archiving

Your plan may include limits on storage and other usage. Any limits that apply to your plan will be shown on our pricing page and in your account settings. If you exceed them we may ask you to upgrade or remove content, and we may prevent new uploads until you are back within them.

To keep the Service affordable, media you have not accessed for an extended period may be moved to lower-cost archival storage. Archived files remain yours and remain available, but may take longer to retrieve than recently used files. We will not archive anything scheduled for upcoming publication.

If your subscription ends, you will have at least 30 days to export your stored content before it is removed, subject to the retention periods in our Privacy Policy.

9. Acceptable Use

You agree not to, and not to permit or enable anyone else to:

  • Publish or transmit content that is unlawful, defamatory, harassing, hateful, threatening, obscene, deceptive, or that infringes or misappropriates anyone’s intellectual property, privacy, or publicity rights.
  • Impersonate any person or entity, or misrepresent your affiliation with or authority to act for any person, entity, or Client.
  • Connect an account you do not own or have documented authority to manage.
  • Use the Service to send spam, unsolicited bulk messages, engagement bait, or automated mass direct messaging in violation of a Platform’s rules.
  • Use the Service to operate inauthentic, bot, or coordinated-behavior accounts, or to artificially inflate engagement metrics.
  • Scrape, harvest, or collect data about individuals from any Platform other than the data made available to you through authorized API access for accounts you manage.
  • Upload viruses or malicious code, or interfere with, overload, or disrupt the Service or its infrastructure.
  • Attempt to gain unauthorized access to the Service, other accounts, or our systems, or bypass any access control or rate limit.
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service, except to the extent that restriction is unenforceable under applicable law.
  • Resell, sublicense, white-label, or provide the Service to third parties as a standalone product, except by managing Client accounts within your workspace as contemplated in Section 6.
  • Use the Service or any output from it to develop a competing product, or to train a machine learning model.
  • Violate any Platform’s terms, developer policies, or community standards while using the Service, or use the Service in any way that is illegal or prohibited by these Terms.

We may investigate suspected violations and may remove content, suspend or terminate accounts, disconnect integrations, and report violations to Platforms or law enforcement. Where practical and lawful we will give notice first, but we may act immediately where there is a risk of harm, legal exposure, or loss of our Platform access.

10. Customer Content and License

You own your content. As between you and us, you retain all right, title, and interest in Customer Content. We claim no ownership of it.

You grant us a non-exclusive, worldwide, royalty-free license to host, store, copy, transmit, display, reformat, and otherwise process Customer Content solely to operate and provide the Service to you, including displaying it to the Authorized Users you designate, transmitting it to a Platform when you schedule or publish it, and generating previews, thumbnails, and encodings. This license is limited to providing the Service and ends when you delete the content or your account, except for content already published to a Platform, content retained by other users you shared it with, and copies in routine backups pending their purge.

We will not use Customer Content to train AI or machine learning models, and we will not use it for our own marketing without your separate written permission.

You represent and warrant that you own or have all necessary rights to Customer Content, including rights to any music, footage, images, fonts, trademarks, and likenesses in it, and that publishing it will not infringe any third-party right or violate any law or Platform rule.

Export before you leave. You are responsible for exporting Customer Content before your account is deleted. After the retention periods in our Privacy Policy expire, we cannot recover it.

11. AI Features

  • The Service includes AI-assisted features such as caption drafting and content suggestions. Content you submit to these features is processed by Amazon Bedrock in the United States, as described in our Privacy Policy.
  • As between you and us, you own the output generated for you by an AI feature, to the extent it is capable of ownership. Similar or identical output may be generated for other users, and AI output may not be eligible for copyright protection in some jurisdictions.
  • AI output can be wrong. It may be inaccurate, misleading, outdated, biased, or unsuitable for your purpose, and it may unintentionally resemble existing material. You must review and verify all AI output before publishing it. You are solely responsible for anything you publish, whether or not an AI feature helped create it.
  • You may not use AI features to generate content that violates Section 9, that misrepresents AI-generated material as an authentic depiction of a real person or event, or that fails to carry any AI disclosure a Platform or law requires.
  • AI features may be subject to usage limits, and may be modified, limited, or withdrawn.

12. Our Intellectual Property

The Service, including its software, design, user interface, documentation, logos, and trademarks, is owned by MCK Agency LLC or its licensors and is protected by intellectual property law. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during your subscription, for your internal business purposes and for managing your Clients’ accounts under Section 6. All rights not expressly granted are reserved. You may not copy, modify, distribute, sell, lease, or create derivative works from any part of the Service.

Feedback. If you send us suggestions or feedback, we may use them freely, without obligation or compensation to you, and you grant us a perpetual, irrevocable, royalty-free license to do so.

Aggregated data. We may compile aggregated, de-identified data about use of the Service and use it to operate, analyze, and improve our products. This data will never identify you, your Authorized Users, your Clients, or any Connected Account, and we will not attempt to re-identify it.

13. Copyright Complaints (DMCA)

We respond to notices of alleged copyright infringement under the Digital Millennium Copyright Act. If you believe material on the Service infringes your copyright, send a written notice to our designated agent containing:

  • A physical or electronic signature of the copyright owner or a person authorized to act for them.
  • Identification of the copyrighted work claimed to have been infringed.
  • Identification of the material claimed to be infringing and information reasonably sufficient for us to locate it.
  • Your name, address, telephone number, and email address.
  • A statement that you have a good faith belief that the use is not authorized by the copyright owner, its agent, or the law.
  • A statement, made under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or are authorized to act on their behalf.

Designated Copyright Agent: Copyright Agent, MCK Agency LLC, 200 E. 7th Ave., Apt. 629, Denver, Colorado 80203, United States. Email: app@upsocial-agency.com.

We will remove or disable access to material that is the subject of a valid notice and will notify the user who posted it, who may submit a counter-notice under 17 U.S.C. 512(g). We terminate the accounts of repeat infringers in appropriate circumstances. Knowingly making a material misrepresentation in a notice or counter-notice may result in liability for damages under 17 U.S.C. 512(f).

14. Confidentiality

Each party may receive non-public information of the other that is marked confidential or that a reasonable person would understand to be confidential. Each party will protect the other’s confidential information with at least reasonable care, use it only to perform under these Terms, and disclose it only to personnel and advisors with a need to know who are bound by comparable obligations. This does not cover information that is public through no fault of the recipient, was already known without obligation, is independently developed, or is rightfully received from a third party. A party may disclose confidential information where legally compelled, with notice to the other party where lawful.

15. Term, Suspension, and Termination

  • These Terms apply while you have an account or use the Service.
  • You may terminate at any time by canceling under Section 8.3 and deleting your account. Deleting your account does not entitle you to a refund.
  • We may suspend or terminate your access, with notice where practical, if you breach these Terms, fail to pay, create risk or legal exposure for us, or if a Platform requires it. We may terminate for convenience on 30 days’ notice, in which case we will refund the unused prepaid portion of your subscription.
  • We may terminate immediately and without notice for serious breaches, including fraud, illegal activity, security attacks, or conduct that jeopardizes our access to a Platform.
  • On termination, your right to use the Service ends, we will disconnect your Connected Accounts, and your data will be deleted in accordance with the retention periods in our Privacy Policy. Export your data first.
  • Sections 6 (as to warranties and indemnity), 8 (as to accrued fees), 10 (as to surviving licenses), 12, 14, 16, 17, 18, 19, 20, 21, and 23 survive termination.

16. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; THAT ANY SCHEDULED POST WILL PUBLISH AT THE INTENDED TIME OR AT ALL; THAT ANY PLATFORM INTEGRATION WILL REMAIN AVAILABLE OR UNCHANGED; THAT ANALYTICS OR METRICS WILL BE ACCURATE OR COMPLETE, SINCE THEY COME FROM THIRD-PARTY PLATFORMS; OR THAT AI-GENERATED OUTPUT WILL BE ACCURATE, ORIGINAL, OR FIT FOR YOUR PURPOSE.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU. WHERE CANADIAN CONSUMER PROTECTION LAW APPLIES AND CANNOT BE WAIVED, NOTHING IN THESE TERMS LIMITS RIGHTS THAT CANNOT LAWFULLY BE LIMITED.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER MCK AGENCY LLC NOR ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, OR AGENTS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, FOLLOWERS, ENGAGEMENT, OR SOCIAL MEDIA ACCOUNT ACCESS, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100).

THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO PARTS OF THIS SECTION MAY NOT APPLY TO YOU.

The parties agree this allocation of risk is a fundamental basis of the bargain and is reflected in our pricing.

18. Third-Party Services

The Service links to and integrates with third-party services, including the Platforms and our payment processor. We do not control them and are not responsible for their content, availability, practices, or terms. Your dealings with them are between you and them.

19. Indemnification

You will defend, indemnify, and hold harmless MCK Agency LLC and its members, managers, officers, employees, contractors, and agents from and against any third-party claim, and any resulting liabilities, damages, losses, settlements, and reasonable attorneys’ fees, arising out of or relating to: your use of the Service; Customer Content and anything you publish; your use of or reliance on AI output; your relationship with, or management of accounts for, any Client, including any claim that you lacked authority; your breach of these Terms or of any Platform’s terms or policies; or your violation of any law or third-party right.

We will notify you of the claim, give you control of the defense with counsel of your choosing, and cooperate at your expense. You may not settle a claim in a way that imposes an obligation or admission on us without our written consent.

20. Dispute Resolution and Arbitration

This section affects your legal rights. It requires individual arbitration and waives jury trials and class actions. Read it, and see Section 20.7 if you want to opt out.

20.1 Informal Resolution First

Before starting an arbitration or lawsuit, you agree to first send a written notice of dispute to app@upsocial-agency.com describing the dispute and the relief you want. We will do the same for a dispute against you. The parties will try in good faith to resolve it for 60 days. This step is a condition of starting a formal proceeding, and any limitations period is tolled during it.

20.2 Agreement to Arbitrate

If the dispute is not resolved within 60 days, you and Upsocial agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved exclusively by final and binding individual arbitration, rather than in court, except as stated in Sections 20.5 and 20.6. This includes disputes about the formation, scope, or enforceability of this arbitration agreement, except that a court decides whether Section 20.4 is enforceable.

20.3 How Arbitration Works

  • The arbitration will be administered by JAMS under its Streamlined Arbitration Rules, or by another established provider the parties agree on in writing.
  • The seat of arbitration is Denver, Colorado. A hearing may be held by video or telephone, and a claim under $25,000 may be decided on documents alone unless a party requests a hearing.
  • The Federal Arbitration Act governs this section. Colorado law governs the substance of the dispute.
  • The arbitrator may award the same individual relief a court could, and the award is final and binding. Judgment on the award may be entered in any court of competent jurisdiction.
  • Each party bears its own attorneys’ fees unless the arbitrator awards them under applicable law. Filing and administrative fees are allocated under the provider’s rules. If you are an individual and the fees would be prohibitive compared with litigation, we will pay the portion the arbitrator determines is necessary to prevent the arbitration from being cost-prohibitive.

20.4 Class Action Waiver

YOU AND UPSOCIAL AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS OR PRESIDE OVER ANY FORM OF CLASS PROCEEDING. YOU AND UPSOCIAL WAIVE ANY RIGHT TO A JURY TRIAL.

If this Section 20.4 is found unenforceable as to a particular claim or request for relief, that claim or request will be severed and heard in court under Section 21, and the rest of the disputes will proceed in arbitration.

20.5 Small Claims Exception

Either party may bring an individual claim in a small claims court with jurisdiction, instead of arbitration, as long as the claim stays in that court and is brought on an individual basis.

20.6 Injunctive Relief for Intellectual Property

Either party may seek injunctive or other equitable relief in the state or federal courts located in Denver County, Colorado to protect its intellectual property rights or confidential information, without first proceeding under Sections 20.1 through 20.3.

20.7 How to Opt Out of Arbitration

You may opt out of Sections 20.2 through 20.4 by emailing app@upsocial-agency.com with the subject line “Arbitration Opt-Out” within 30 days of first accepting these Terms. Include your name, account email, and a statement that you are opting out. Opting out does not affect any other part of these Terms, and we will not retaliate or treat your account differently because you opted out. If you opt out, disputes are resolved under Section 21.

20.8 Survival

This Section 20 survives termination of your account and of these Terms.

21. Governing Law and Venue

These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-laws principles, and excluding the United Nations Convention on Contracts for the International Sale of Goods. For any dispute not subject to arbitration, the state and federal courts located in Denver County, Colorado have exclusive jurisdiction, and the parties consent to personal jurisdiction and venue there.

Nothing in these Terms deprives you of the protection of mandatory consumer protection provisions of the law of your province or state that cannot be derogated from by agreement, including for users in Quebec and other Canadian provinces where such rights cannot be waived.

22. Changes to These Terms

We may update these Terms. For material changes we will give Customers at least 30 days’ notice by email or in the Service before they take effect, and we will update the Effective Date. Changes will not apply retroactively to a dispute that arose before the change. If you do not agree to a change, cancel before it takes effect; continuing to use the Service after that means you accept the updated Terms.

23. General

  • Entire agreement. These Terms, the Privacy Policy, any Data Processing Addendum, and any order form or plan terms you accept are the entire agreement between us on this subject and supersede prior discussions.
  • Order of precedence. If there is a conflict, a signed order form or Data Processing Addendum controls over these Terms, and these Terms control over any other page on our site.
  • Severability. If a provision is held unenforceable, it will be modified to the minimum extent necessary or severed, and the rest remains in effect.
  • No waiver. A failure to enforce a right is not a waiver of it.
  • Assignment. You may not assign these Terms without our prior written consent, except to a successor to all or substantially all of your business. We may assign them in connection with a merger, acquisition, or sale of assets. Any other attempted assignment is void.
  • Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, including Platform outages and policy changes, internet or hosting failures, natural disasters, labor disputes, and government action. This does not excuse payment obligations.
  • Notices. We may send notices to your account email or display them in the Service. Send notices to us at app@upsocial-agency.com and at the address below.
  • Independent parties. Nothing here creates a partnership, joint venture, employment, or agency relationship between you and us.
  • No third-party beneficiaries, except that the Platforms are intended third-party beneficiaries of Sections 7 and 9 to the extent those sections require compliance with their terms.
